Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Vending.forsale ("Vending.forsale", "we", "us", or "our") covering your access to and use of vending.forsale and every feature on it, including route and location listings, paid lead unlocks, calculators, downloadable guides, and financing referral forms. Please read them carefully; they include an arbitration agreement and a limitation of liability that affect your legal rights.

1. Acceptance of these terms

By creating an account, submitting a listing, purchasing a lead, downloading a resource, or otherwise using the site, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the marketplace.

2. Our role: marketplace, not a party

Vending.forsale is a venue that helps vending operators, sellers, brokers, and business owners find one another. We are not a party to any purchase, lease, placement agreement, commission split, or loan negotiated between users. We do not take custody of machines, routes, inventory, or funds exchanged between users. We do not act as a business broker, real-estate agent, investment adviser, accountant, lender, or attorney, and nothing on this site is professional advice. Any decision you make about buying a route, placing machines, or borrowing money is your own, and you should conduct independent due diligence and consult your own advisers first.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract in the United States to use the marketplace. You agree to provide accurate registration information and to keep it current. You are responsible for everything that happens under your account, including maintaining the confidentiality of your credentials. Notify us immediately if you suspect unauthorised access. Accounts are personal to you or your business and may not be shared, resold, or transferred without our written consent.

4. Listings and seller obligations

If you publish a route, machine, or business listing, you represent that you have the right to sell what you are listing and that every material fact you state — revenue, gross profit, machine count, machine age and condition, location contracts, commission rates, remaining lease terms, and asking price — is accurate and not misleading. Financial figures should be supportable by records you can produce to a serious buyer. Listings are submitted for review and are not publicly visible until approved; sellers cannot self-approve listings. We may edit, decline, unpublish, or remove any listing at our discretion, including for inaccuracy, duplication, spam, expired availability, or failure to respond to buyer enquiries. Approval by us is not an endorsement, valuation, or verification of a listing.

5. Paid leads and unlock fees

Some listings and location opportunities require a one-time unlock fee to reveal the counterparty's contact details. What you are buying is access to that contact information at the moment of purchase — not a guaranteed sale, a guaranteed response, an exclusive introduction, or any particular level of route performance. Because the value is delivered the instant the details are revealed, unlock fees are non-refundable once contact information has been displayed. If a lead's contact details are demonstrably invalid or the listing was fraudulent, contact us within seven days and we will review the case and may issue a credit at our discretion. You may not resell, syndicate, scrape, or redistribute unlocked contact information, and you must use it only to pursue the opportunity it relates to, in compliance with anti-spam and telemarketing law.

6. Location submissions

Business owners who submit a site for free machine placement represent that they are authorised to permit machine installation at that address. Submitting a location is a request to be matched with operators; it does not obligate any operator to install a machine, and it does not obligate us to find a match. Placement terms, commissions, servicing schedules, insurance, and liability for the equipment are agreed directly between the business owner and the operator.

7. Financing referrals

Our financing forms pass your enquiry to independent lending partners. Vending.forsale does not make credit decisions, does not lend money, does not guarantee approval, and does not set rates, fees, or terms. Any offer you receive comes from the lender and is governed by that lender's own agreements and disclosures. We may receive a referral fee from a partner. By submitting a financing form you consent to being contacted about your enquiry as described in our Privacy Policy, and you confirm the information you provided is true.

8. Payments, taxes and refunds

Payments are processed by our third-party payment processor. By making a purchase you also agree to that processor's terms. Prices are shown in US dollars and exclude any applicable taxes, which are your responsibility unless we state otherwise. Where we offer a subscription or recurring plan, it renews automatically until you cancel, and cancellation takes effect at the end of the current billing period. Except where required by law or expressly stated in these Terms, fees are non-refundable. Chargebacks filed without first contacting us may result in account suspension.

9. Acceptable use

You agree not to: post false, fraudulent, deceptive, or unlawful listings; impersonate another person or business; harvest, scrape, or bulk-export data from the marketplace by any automated means; attempt to circumvent paywalls, rate limits, authentication, or row-level security; upload malware or attempt to probe or breach our infrastructure; use contact details obtained here for unrelated marketing, spam, or robocalls; interfere with other users' use of the site; or use the marketplace in violation of any federal, state, or local law, including franchise-disclosure, securities, business-opportunity, telemarketing, and consumer-protection laws.

10. Your content and our licence

You retain ownership of the listings, photographs, documents, reviews, and other content you submit. You grant Vending.forsale a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting, publish, and display that content for the purpose of operating, marketing, and improving the marketplace, including in search results, emails, and social previews. You represent that you own or have the rights to everything you upload and that it does not infringe anyone's rights. We may remove content that we believe violates these Terms or a third party's rights.

11. Our intellectual property

The site design, branding, logos, calculators, article library, checklists, templates, and underlying software are owned by Vending.forsale or its licensors and are protected by intellectual property law. You may use our guides and downloadable checklists for your own vending business, but you may not republish, resell, or present them as your own product. Our editorial process is described in our editorial standards.

12. Third-party services and links

The marketplace links to and integrates with third-party services such as payment processing, email delivery, analytics, and lending partners. We are not responsible for the content, policies, availability, or practices of any third party, and linking to a site is not an endorsement of it.

13. Disclaimers

THE MARKETPLACE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Earnings figures, ROI calculators, profit ranges, and product-margin examples published on this site are illustrative estimates based on industry data and operator reporting. They are not guarantees, projections, or promises of income. Actual results depend on location quality, pricing, product mix, machine condition, service frequency, commissions, competition, and factors outside our control. We do not warrant that listings are accurate, that leads will convert, or that the site will be uninterrupted or error-free.

14. Limitation of liability

To the maximum extent permitted by law, Vending.forsale and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunity, or loss of goodwill, arising out of or related to your use of the marketplace — even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim relating to the marketplace will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Vending.forsale from and against any claims, damages, liabilities, losses, and reasonable legal fees arising out of your content, your listings, your use of the marketplace, your dealings with other users, or your breach of these Terms or of any law.

16. Suspension and termination

You may stop using the marketplace and close your account at any time. We may suspend or terminate your access immediately, with or without notice, if we believe you have breached these Terms, created risk or legal exposure for us or other users, or engaged in fraud. Sections that by their nature should survive termination — including content licences, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

17. Governing law and disputes

These Terms are governed by the laws of the United States and the state in which Vending.forsale is established, without regard to conflict of law rules. Before filing any claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least 30 days. If that fails, any dispute will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court. You and Vending.forsale each waive the right to a jury trial and the right to participate in a class action or class-wide arbitration. Claims must be brought within one year of the event giving rise to them.

18. Changes to these terms

We may update these Terms as the marketplace evolves. The "Last updated" date reflects the current version, and material changes will be announced by email or an in-app notice before taking effect. Continuing to use the site after an update means you accept the revised Terms. If any provision is held unenforceable, the remainder stays in force, and these Terms together with our Privacy Policy are the entire agreement between us.
